Terms and Conditions for Outside Real Estate Agent Participants

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENROLLING. By registering for this course, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.

COURSE PURPOSE AND DISCLAIMER

1.1 Educational Purpose Only

This Commercial Real Estate Continuing Education course is designed solely for educational and informational purposes. This course provides foundational knowledge about commercial real estate and is intended to supplement—not replace—comprehensive commercial real estate training, mentorship, and practical experience.

1.2 By Enrolling, You Expressly Acknowledge and Agree That:

  • This course DOES NOT qualify you to independently practice commercial real estate
  • This course DOES NOT serve as a recommendation, endorsement, or suggestion that you begin practicing commercial real estate upon completion
  • Completion of this course DOES NOT constitute certification, designation, or authorization to hold yourself out as a commercial real estate specialist or expert
  • This course is NOT a substitute for proper mentorship, additional training, designation programs (such as CCIM, SIOR, etc.), or hands-on experience under qualified supervision
  • You understand that commercial real estate transactions involve significant complexity, liability, and risk that cannot be fully addressed in this educational program

1.3 Participant Responsibility

You are solely responsible for determining your readiness to engage in commercial real estate practice. BP School of Real Estate and its instructors, owners, and affiliates assume no responsibility for any business decisions you make based on information learned in this course.

INTELLECTUAL PROPERTY AND PROPRIETARY MATERIALS

2.1 Ownership

All course materials, including but not limited to presentations, slides, handouts, workbooks, templates, checklists, frameworks, audio, video, digital content, and any other materials provided in connection with this course (collectively, "Course Materials"), are the sole and exclusive property of BP School of Real Estate.

2.2 Limited License

Upon enrollment, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Course Materials solely for your personal educational purposes in connection with this course.

2.3 Prohibited Uses — You Agree That You Will NOT:

  • Copy, reproduce, distribute, publish, or share any Course Materials with any third party
  • Use Course Materials to create derivative works, competing courses, or training programs
  • Record, photograph, screenshot, or capture any portion of the course instruction, whether in-person or virtual, without express written consent
  • Upload, post, or transmit any Course Materials to any website, social media platform, or online repository
  • Use Course Materials for any commercial purpose, including but not limited to training agents at your brokerage or any other organization
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices from Course Materials

2.4 Enforcement

Violation of these intellectual property provisions may result in immediate removal from the course without refund, legal action for damages, and injunctive relief. You agree to pay all attorneys' fees and costs incurred by BP School of Real Estate in enforcing these provisions.

NO REFUND POLICY

ALL COURSE FEES ARE NON-REFUNDABLE UNDER ANY CIRCUMSTANCES. NO EXCEPTIONS.

3.1 All Sales Final — No Refunds Will Be Issued For Any Reason, Including:

  • Change of mind or scheduling conflicts
  • Inability to attend scheduled sessions
  • Dissatisfaction with course content or instruction
  • Personal, professional, or medical emergencies
  • Technical difficulties on your end (internet, equipment, etc.)
  • Course format changes
  • Removal from course for violation of these Terms
  • Any other reason whatsoever

3.2 Transferability

Course enrollment is non-transferable. You may not sell, assign, or transfer your enrollment to another individual without prior written approval from BP School of Real Estate, which may be granted or denied in its sole discretion.

ENROLLMENT AND ADMISSION

4.1 Right to Accept or Reject

BP School of Real Estate reserves the absolute right to accept or reject any applicant for any reason, or for no reason, at its sole discretion. We are under no obligation to provide an explanation for any enrollment decision.

4.2 Eligibility Requirements — Participants Must:

  • Hold an active real estate license in good standing in their respective state(s)
  • Complete the enrollment application truthfully and completely
  • Pay all required fees prior to course commencement
  • Agree to these Terms and Conditions in writing

4.3 Verification

We reserve the right to verify your licensure status and may require proof of active licensure prior to or during the course. Falsification of licensure information will result in immediate removal without refund.

4.4 Removal from Course

BP School of Real Estate reserves the right to remove any participant from the course at any time for violation of these Terms and Conditions, disruptive or unprofessional behavior, or any other reason deemed appropriate in our sole discretion. Removal shall not entitle participant to any refund.

PARTICIPANT CONDUCT

5.1 Code of Conduct — All Participants Agree To:

  • Conduct themselves professionally at all times
  • Treat instructors, staff, and fellow participants with respect
  • Refrain from disruptive, inappropriate, or unprofessional behavior
  • Not solicit, recruit, or market to other participants or instructors during the course
  • Maintain confidentiality regarding other participants' information and discussions
  • Comply with all applicable laws and licensing regulations

5.2 No Solicitation

This course is an educational program, not a networking or recruitment event. Participants are prohibited from using this course as an opportunity to recruit agents, solicit business, or market products or services to other participants or instructors.

COURSE FORMAT AND MODIFICATIONS

6.1 Format Flexibility

BP School of Real Estate reserves the right to modify the course format at any time, including but not limited to:

  • Converting in-person sessions to virtual/online format
  • Converting virtual sessions to in-person format
  • Offering a hybrid model combining in-person and virtual instruction
  • Changing course dates, times, or location
  • Substituting instructors
  • Modifying course topics, subjects, or curriculum

6.2 No Refunds for Format Changes

Changes to the course format shall not entitle any participant to a refund. By enrolling, you accept that the course may be delivered in any format deemed appropriate by BP School of Real Estate.

6.3 Technical Requirements

For virtual or hybrid sessions, you are responsible for ensuring you have adequate internet connectivity, appropriate equipment (computer, camera, microphone), and a suitable learning environment. Technical difficulties on your end do not entitle you to a refund or makeup sessions.

LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES

THE COURSE AND ALL COURSE MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL BP SCHOOL OF REAL ESTATE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, INSTRUCTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THIS COURSE.

THE MAXIMUM AGGREGATE LIABILITY OF BP SCHOOL OF REAL ESTATE FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS COURSE SHALL NOT EXCEED THE AMOUNT OF COURSE FEES ACTUALLY PAID BY YOU.

You acknowledge that the practice of commercial real estate involves significant risks, and you assume all risks associated with applying any knowledge gained from this course to your professional practice.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BP School of Real Estate and its owners, officers, directors, employees, instructors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the course, your violation of these Terms and Conditions, your use or misuse of Course Materials, or any commercial real estate transaction you engage in.

CONFIDENTIALITY AND MEDIA RELEASE

9.1 Confidential Information

You agree to maintain the confidentiality of all proprietary teaching methods, business strategies, and other confidential information disclosed during the course. Information shared by other participants during class discussions is confidential and may not be disclosed outside the course.

9.2 Media Release

By participating in this course, you grant BP School of Real Estate permission to photograph, video record, and otherwise capture your likeness and voice during course sessions for use in marketing, promotional materials, and social media, unless you opt out in writing prior to the course start date.

GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

10.2 Jurisdiction and Venue

Any dispute arising out of or related to these Terms and Conditions or your participation in the course shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

10.3 Waiver of Jury Trial

YOU HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS.

MISCELLANEOUS

11.1 Entire Agreement

These Terms and Conditions constitute the entire agreement between you and BP School of Real Estate regarding your participation in this course and supersede all prior agreements and understandings.

11.2 Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Waiver

The failure of BP School of Real Estate to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other provision.

11.4 Modification

BP School of Real Estate reserves the right to modify these Terms and Conditions at any time. Continued participation in the course following any modification constitutes acceptance of the modified terms.

11.5 Assignment

BP School of Real Estate may assign its rights and obligations under these Terms and Conditions without your consent. You may not assign your rights or obligations without prior written consent.
